You're message isn't especially clear. Does it say "Cannot find C:\Windows\System32.exe or does it say "Cannot find C:\Windows\System32\exe" or something else?

In either case, it sounds suspicious to me (though Windows XP isn't my specialist area). Sounds like a virus trying to start up unsuccessfully.
