Boot with your XP install CD.
Enter R at the first opportunity to start the Recovery Console.
enter bootcfg /rebuild to correct the messed up boot.ini file.

See here: "Invalid Boot.ini" or "Windows could not start" error messages when you start your computer

Unable to boot at all now. Could it be the MoBO which is a MSI 945GM3....7267? thanks for your help.

Could be memory or hard drive as well.

Download Memtest86+ (you want the 2nd one Download - Pre-Compiled Bootable ISO (.zip)). Unzip it then create a CD from the iso file using your CD burning software. There is a good freeware burner called ImgBurn which will do this easily.

DO NOT burn the .iso file directly to CD. It must be used as input to a program that knows what to do with it, like the one I mentioned above.

Boot the CD and run for at least 3 complete passes unless it shows errors sooner than that.

Check the hard drive with the manufacturer's diagnostic tools.

    Ztruker,
Downloaded Memtest and ran on machine...had no errors
Downloaded from WD diag504fCD.iso and used Image burn to create a bootable CD. Never could get this program to run on machine kept telling me make sure a particular file was in the same directory...Downloaded Seatoolsdos223AAL.iso and used image Burn to create a bootable CD. Tried to run the Diagnostic Short test on my WD3200AAKS-00VYA0 hard drive and it failed this test. Started running the Long Test and got about 17% thru it and had one error and then the PC cut itself off.
    will try again Sunday.
    Thanks

The wording when I try to run above program is this "Cannot locate file DLGLice.txt, Make sure that it is in same file path as DLGDiag.exe"
When I look under the ISO file DLGLice.txt is there. I do not know exactly what this means or how to do what it is telling me.

Mr hard drive is a model WD3200AAKS-00VYA0. Please check and see if I am using the correct file. Thanks a million

diag504fCD.iso is the one I would have chosen.

The web site says: I've had issues with running this from a CD/DVD - try the Hitachi DFT (on older/IDE systems) or the Seagate SeaTools (on newer/SATA systems) .

Your hard drive is SATA so SeaTools is what I would also try.

What speed did you burn the WD CD at? Use the lowest speed available, normally 4X, see if that makes a difference.

You can also give the Windows version a try: WD Support / Downloads / SATA & SAS / WD Caviar Blue / SE / SE16 (SATA II)

    Ztruker,
Downloaded the Hitachi program and run a Quick test on the Hard Drive and it passed.
Tried to run the advanced test and was doing ok for about 7-8 minutes and then the system began to re-boot and was never able to complete this test. According to the instructions if it passes the Quick test more than likely the hard drive is good.
I took the Heat sink off of the LGA 775 Intel processor and cleaned all the old heat sink grease off and reapplied some new. Thought this was going to help but started re-booting again after about 10 minutes. I was monitoring the core temp when it would start re-booting and the core temp would be reading 28-30 Celsius which is within tolerances for the LGA775 CPU. When system is running +12V supply is about 11.94V and changes very little when re-boot begins.
Power supply that the MOBO calls for is no longer available but, it test ok with the ATX Pwr supply tester on all voltages.
Seems to run ok until something is getting hot and then it starts acting up but, CPU temp is ok.
MoBo is no longer available but I do not know what else to check By the way sometimes when it is re-booting the PC will completely shut down and then start back up. Burned the CD at 4X
    Sorry for the long post.

    Thanks again for your help.

Looking back at your HJT log, you have many anti-virus/anti-spyware programs running.

    Windows Defender
    Avast
    Avira
    SpywareGuard
    Lavasoft Ad-Aware

    You area also using ZoneAlarm

I would uninstall ALL of them then make sure the Windows Firewall is running.
Then install Microsoft Security Essentials and none of the others, at lest not for a while to see what happens.

Removed all programs via control panel "Add remove programs" Tried it several times and still the same thing. Then I got to thinking again about the power supply. Plugged the coolmax 224 tester into the 20+4 connector and watched the readings.
Everything was OK except the 3.3V rail. It is fluctuating anywhere between 3.8V-2.0V and sometimes it will stay blank momentarily and I get the long alarm tone from the tester. In fact the tester is beeping 90% of the time and all readings are within limits except the 3.3v. ( It's range according to the power supply book should be +3.13-+3.47 with 3.3 the nominal reading.
In your evaluations could this be the problem for the re-booting. It was not doing that when we were testing for Malware.

If the 3.3v rail is dropping to 2.0 and sometimes 0 then I would say there is a good chance that is causing the problem. Only way I know to test this is to replace the power supply.
