Can anyone please tell me how to remove "itunes helper" ?

If it is starting and you do not want it to got to start Run... msconfig | Startup and remove it from the list (uncheck the box).

If you really want to remove it Search for ituneshelper.exe or ituneshelper.app and delete it. It should be under Program Files > iTunes > etc.
