I'd suggest updating your file system to NTFS as seen here:
http://support.microsoft.com/kb/307881
-
If I convert c: NTFS and try installing will it solve the problem or i will have to change all the drives on my PC
-
C: is all that will be affected by XP itself.
Not saying it will solve the problem but I'd suggest it as a first try.
NTFS is the recommended file system for XP.

I have tryed your suggestion i converted my c: to NTFS and tried to install service pack 2 but again it got hanged when it boots after copying the files.
Anyone know anything about BIOS update or something, I have heard that problems like this can be solved by updating the BIOS well if thats true then can someone tell me how to update my BIOS

The last BIOS for that board was 2004. Pre SP2.
What is your source of SP2? Windows Update?
What exactly happens when it reboots? How far does it go? What happens exactly? Any error messages? Have you checked your Event Viewer afterwards?
-
when the Pc reboots the windows screen appears and it hangs just there.
But now I have a new problem, I updated my BIOS from http://www.msicomputer.com/support/bios_result.asp they provide a live update I run the steps, they said use flash if you want to use windows, I selected to move forward without using floppy disk, after the update flashed and said that BIOS updated Reboot to get the setting to effect. When I restarted my PC its just gets shut down, in about 8 seconds, then I asked one of my friend he said remove the battery and put it back in, Now that let me load XP so I thought the problem was over so i tried to install SP2 after the files got copies it went for the first boot, where it goes in to the setup but again the PC just shuts down, I tried removing the battery to solve the problem but it does not allow me to boot from CD, or complete the installation by going selecting the windows XP setup, The Stem just shuts down. What could be the reason.
-
The reason: a corrupted BIOS.
Removing the battery would have cleared the CMOS but will not recover a corrupted BIOS. Nothing short of a manufacturer repair will.
Can you get into the BIOS Setup? If so Set Defaults and set the CD drive as the first Boot Device.
-
I went in the BIOS and set the CD drive as first Boot but when I try to boot its just shut's down.

When the XP loads some errors display something like could not handle or something like that and shuts down, could not read the exact error was something like can't handle or invalid handle. and shuts down
