If I will upgrade Win-XP with new CD, do I lose other application?

If its only an upgrade cd not a full install, you shouldnt lose it. If its a full install on a clean hd yes you will have to phone MS and request a new activation code. They are very helpfull and will supply a new one when you tell them the reason.
