Did you notice this RAM config: re: Dual Channel Technology?
pg. 14 of manual:
If you only have 2 sticks they should be in:
Either: slot 1&3 or 2&3; not 1&2

i do have them in 1 and 2, could this cause the problem?
both sticks are dual channel

nope, just got another lockup with sticks in 1 and 3...no error messages reported in event viewer
as for the error log, nothing either

Is you CPU still running @ 60°C?
How about the PSU? Is this new? What wattage? Voltage? Temp.?
Did you install all the board drivers?
nForce2 series system driver for example?

in the bios there is a PC health status menu and heres what it reads:
Vcore OK
DDR25V OK
+3.3v OK
12v OK
Current System Temp 37*C
Current CPU Temp 57*C
CPU fan 4115 RPM
system fan 2083 rpm
i checked this after the computer was idle for around 5 hours
as for the PSU i dont know the temp, but it is 420w
and yes i updated the BIOS and the nvidia nforce drivers today

I think your CPU is rather hot but not fatally so. In the manual Setup screen it is shown as 45°C fwiw.
To diagnose hardware I would go back to the basics.
1 stick RAM: Grapics Card: 1 hard drive.
Clear the CMOS.
Does that make a difference?
As to compatibility:
Is your RAM DDR400?
You also have to use DDR memory module(s) with frequencies equal
to or faster than the FSB frequency of the CPU you install. For example, when using a CPU with 333Mhz FSB,
you have to install DDR333 or DDR400 memory module(s).
Your AMD Athlon™ XP 3200+ =(400 FSB)

like the title says its ALMOST seemingly random
but it usually happens when AIM and windows media player are running together, and after like a half hour of GTA, but not any other game, only that one
no new errors or logs
but i looked into each log more closely and found this one as common

That error sort of relates to the log failures ... tho doesn't explain them.
If the hardware is all fine my next suggestion would be to do a new Clean Install of XP SP2.
The only other outstanding issue that i see is the CPU heat.
