Is it possible to uninstall win95 and then install win98 se without an upgrade disk.. I've got an 98se disk but it's not an upgrade disk.
If it is poss, how do I do it??
PS It's for an old laptop my son has been given..

It's quite possible. If your CD isn't an Upgrade CD, I gather it's a Full Install CD.
If you want to upgrade with this CD, it can be done. However you stated "uninstall 95", so I'll approach it from that standpoint.
First, capture any non-Microsoft drivers you may need. See my posting #4 here. Also back up any documents and/or files and/or utility install packages you may want to retain from this hard disk. This hard disk will be blank once you start/perform the following.
NOTE
If this laptop cannot access BOTH the CDROM drive AND the floppy drive at the same time (ie; one or the other but not both), post back and I'll fix that.
Secure a 98SE floppy bootdisk. (Assuming your system has a 3-1/2" floppy drive.) You can get one from here or here. Test the bootdisk to ensure it works OK on your machine. (Some machines are or can be obnoxious about bootdisks.) You may have to set the floppy drive as your first boot device in the machine's bios.
Once you have everything you need (including the Product Key for the CD) boot the machine with the bootdisk. If you're happy with the partitioning of the hard disk as it is, select "Boot with CDROM Support". Watch for the device letter assigned to the CDROM drive near the end of the boot process.
If you want to change the structure of your hard disk, choose "Boot without CDROM Support", as you'll have to reboot anyway before your ready for the CDROM. Saves time and memory. Post back if you need help with this hard disk partitioning/structuring element.
With the hard disk structure ready to go, at the A:\> prompt type in
format/c/autotest c:
and hit the Enter key. This command will immediately start the formatting process. It will NOT ask if you're sure, and there will be no opportunity to confirm the format command.
Once the disk is formatted, type in (still at the A:\> prompt)
x:\setup (where x is the device letter assigned to the CD drive which you noted near the end of the bootup.) The install should commence.
