and, if not, can you upgrade windows simply by installing a new version over the top without deleting all files, then reinstalling them?

I've looked this up on a number of sites but no-one seems to know as not even the Sony site tells you what you need to install the software on a PC:

You can get an upgrade licence of Windows 2000 or XP to install over the top of Windows ME. In theory, you won't lose any data but you might need to re-install some programs. Upgrade installations are often unsuccessful, leaving your PC either in a mess or not starting up at all so, whilst it seems like the easiest option, I'd always recommend against it. Best to wipe everything off and start with a clean slate - it's much more likely to work (although you'll need to reinstall all programs and data if you wipe the hard disk).

Just to add to what DJNafey said, MP3 players usually connect to the computer using USB 2.0 or 1.1. Most USB devices are compatible with Windows 98 and upwards, which of course includes Me. Because 98 is an older Operating System, then sometimes it requires additional drivers which are usually supplied with the player. It is sometimes the same case with Windows Me.
