Well If anyone has any advice, please reply......

Ok I go into safe mode and try to run scandisk, no anti virus running, no screen savers on, checked start up menu and its clean and scandisk in standard or thorough scan runs for about 30 secs than stops responding...
WHY...WHY anyone know???????

Is it just checking files?? is your hard drive playing silly beggars?...i've not had problems on Win98 (se) nor ME maybe you have some hasties on your pc.........have you tied your antivirus in safemode??

Yes I have tried my Antivirus in safe mode and still neither scandic noe defrag work
