i am using windows me ; my system restarts automatically while i am working with in 3 or 4 minutes; but if i am running windows media player this dosent happens.. pls let me know the reason and solution

I m using an IBM NetVista with PIII processor 256 mb ram (128*2) an IBM 20 GB and a samsung 80 GB HDDs on board sound and display with Intel 82815 graphic controler. am using windows me as os and norton 2003. the prob started 1 month back and i was working with ms office 2000 (i think). also i have an internal modem and network card in it but all the hardware devices are already installed and working properly. after the problem i had formatted and reinstalled the os with the help of the recovery cd supplied with the pc, but still the same thing happens. recently i noticed that if thwe windows media player (im using 7) is running this doesnt happens.

Also i have a problem that my system takes almost 10 minuts to boot
