The CPU heatsink/fan is dependent on the CPU socket type.
If your new CPU is different socket type it will need a new heatsink/fan.
These are very inexpensive and most retail packaged CPU's include them in the package.
Sure you can move over your CD drive and hard drives. But you will still need to reinstall XP. The Dell XP on the old hard drive will not boot on a new motherboard.
You can move all your cards as well.
Yep that is true, I just read it on the Windows XP Disc that came with Dell. It says "Only use this CD to reinstall the OS on a Dell Computer."

Although Im doing some research to see if there is a computer store that can allow me to customize a PC for the right price, (not from a Dell store though, but from a computer store website) than if thats the case, I would just boost the RAM on this dell and keep it as a backup. We shall see...
If you know how to use a screw driver and have the time and inclination you should do it all yourself.
