    so, hopefully this will work

    planning to upgrade from,

    AMD Athlon(tm) XP 2400+
    MSI MS-6382
    psu = who knows, open me case but, sticker said nothing of wattage
    geforce 4 mx 440
    DDR PC2100 X2

    to:

    AMD Athlon64 3200 Venice Retail Socket 939
    Abit UL8 939
    1GB PC3200 DDR (184 pin)
    ATI Radeon 9800 Pro

    is it possible, or worth it, any help you be nice.

    I was/am sort of confused as to the question

    Rather than any upgrade it appears that you are building a new computer:

    New motherboard; new CPU; new RAM; new Graphics card.

    What is the same but the Case? The PSU? The drives?

    If the motherboard fits the case and the PSU is good enough I can see no other issue.

    Depending on your Operating System you may want to prepare your hard drive in order to avoid a reinstall of 2k or XP as Originally Posted by brain_damage:

    one last thing, if my old case already has an ATX then would it take another ATX mobo ven if its a little bigger?

    if its already an ATX case, then it should be the same size.

    forgot to meantion my last one was a micro ATX, apprently. atleast that what it said.

    A full size ATX case will usually hold either an ATX or Micro ATX.

    If it is a mid-tower case or desktop then Micro-ATX might be the max it can hold.

    Unless you know the ID of the case you'll have to open it up and check the mounting holes.

    Hi there as long as you are careful most motherboard fittings can be adapted as long as its secure and no unused fittings are touching the motherboard
