On the ASUS boards, there are only a select few MBs that will accept the E series of processors from Intel. If it has an SiS chip set, no it wont. Only the Via or Intel Chipsets will. I am not sure which is the lowest of the intel CHipsets. The 865 came out before the E series but was updated by BIOS updates to handle only the 1MB l2 cache. If you processor has a 2MB L2 cache you will need a newer chipset.

Just 1M L2 cache so that should be ok
