Unhappy Problem with Netgear wireless PCI adapter card and Shuttle SB75G2

I'm trying to connect the Shuttle SB75G2 into my WLAN via a Netgear WG-311 Adapter card. I first installed the Netgear's software, then shut down the machine and physically installed the card. The problem is that now the XP keeps rebooting the machine just a few seconds after the startup gets into the desktop screen.
The only way to stop the rebooting loop is to boot into Safe Mode and then disabling the Netgear card on the Device Manager.
I've already disabled the Onboard Lan Boot ROM in the BIOS, and also uninstalled the Broadcom NetXtreme Gigabit Ethernet from the Network Adapters via the Device Manager. But I noticed this last one is always installed back every time the XP restart.... argh
Can anyone point out what is going on and how I can get the WG-311 working with the SB75G2?
    Many thanks,
    Luciano

    System is as follow :
    Shuttle SB75G2
    Intel P4-2.8C CPU
    Windows XP-SP2 Professional O/S
    Kingstom 2x256MB RAM
    Seagate 80GB SATA HDD
    Samsung CD-RW/DVD SM-352
Netgear WG-311 v2 wireless PCI adapter card
    GeXcube Radeon 9600XT display card
