What is the make & model of the board? Is it new?
Also: Do you know the BIOS manufacturer?
Are you sure the battery is good?

I'm with jephree on this. "Are you sure the battery is good?" If the battery is more than three or four years old, it's fairly cheap to replace it. The symptoms indicate this is a strong possibility.
Do you have a USB keyboard?
Also check here for your beep codes (if you know what make your bios is; Award, AMI, Phoenix, etc.) If memory serves me correctly, two then one beeps indicate it could be memory or video errors, but you need the right codes. Some are similar, but there are differences. Post back with your results.

in reply to the advice:
I have the BIOS is AMIBIOS (C) 2003 ver A7043VMS
the MB is the MSI PT880 NEO FSR 601-7043-020
I have replaced the CMOS Battrey same results.
I even replaced the RAM with 2700 / 128 DDR in slot A on the board
The orginal Memory was 2100 / 256 in slot A on the Board
The Processor displays in the diag screen as the Celeron 2.6 and the RAM counts fine also.
I am having trouble with the Video Card which I have tried forth Video Card
NVIDA Geforce2 MX 64MB AGP
Which I still get the beeps 2 - 1 and it just sits there with no response to the key commands. I fail to beleive I have 4 bad Video cards
Which F1 and F2 are listed on the screen to enter setup and the bios will not allow me to enter the Bios Has never been setup and it just keeps freezing at the Diag screen.
Any other suggestions? H E L P
I am using a PS2 Keyboard.

Disconnect everything from the motherboard except the CPU, one stick of RAM, Floppy drive if so equiped, Video card, keyboard, and mouse.
Try to boot. Are the beeps different?
Are you able to enter the bios?
