How Do I Bios Upgrade?
I Was Going To Down Load An Upgrade For My Bios But I Don't Know If Its Worth It.
If I Was To Upgrade To A Newer Version Would I Need To Get Any Newer Drivers For Anything Else? Or Would I Have Any Problems That I Haven't Even Thought About?
I'm Really Scare That I Will Do My Compie Some Damage By Upgrading The Bios.......please Advise Me...........

Only upgrade if you are having problems & or you are doing a major upgrading of hardware. Such as a new processor etc. Is my advice

Problems Are:- Can't Find Vsertd.386 File, And I've Looked Every Were I Know And Can't Find It....... Compie Not Shutting Down, Stops At Windows Shutting Down Picture........ I'm Running Windows 98se And It's Doing My Head In.............

I would post your problem in the 98 section.
This is most likely an Operating System problem rather than BIOS.

jephree is correct. The problem description indicates it's O/S (Operating System) related. But since we're here,
I would only upgrade the bios as a last resort. There are software answers to most bios limitations. As long as you have the correct bios upgrade file and the correct flash utility to run it on, it usually works just fine. But because of the severity of the potential damage, it's best avoided if possible. This is the machine language that makes the computer aware of its purpose. If it gets scrambled = no computer until you get either a new bios chip or a new motherboard. (Well, there are exceptions but in general....)
Vsertd.386 is a (non-Microsoft) Input Device Driver. Mouse, keyboard, scanner, anything that provides input to the system. Are you having problems with any of these devices?
If the system is not shutting down properly, there is probably a program, etc running that windows can't shut down for some reason. Check here and go through the listing. Note that this article mentions;
"An incompatible, damaged, or conflicting device driver is loaded."
as one of the problems. This is probably tied into your Vsertd.386 problem.
If you have any problems going through the exercises in that article, post back here.
If you install the shutdown patch mentioned at the beginning of the article, you will not be able to reverse the action. You can control this element by going to; Start, Run, msconfig. Near the lower right of the General tab click Advanced. In that window, place a checkmark in the box for "Disable fast shutdown". This is what the patch does. However, if you upgrade your hardware, and place this hard disk in a newer, faster machine, you may want to have control over this element of windows.
